Whatsup is updating their terms and privacy policy for the first time in four years, and as most people know when big corporations update their terms, it's usually not in the best interest of the common user.
With this update comes two major changes. The first change is that Whatsapp will start sharing its data with its parent company Facebook. The second change is enabling other business to send their ads as messages in Whatsapp.
The consequences of these changes, beside privacy concerns, is that Facebook may use your Whatsapp contact to suggest to you new friends to add you. For me this is a problem, I don't want some of my Whatsapp contacts to add me as their friend on Facebook.
On another note, enabling ads on Whatsapp may turn off some of its users who are using it just because it's ad-free.
