1.Memorandum of Association : It is the charter of the company and defines the fundamental conditions and objects for which the company granted incorporation.
Article of Association : It contains the rules and regulations framed to govern the management of the company.
- Memorandum of Association: It cannot include any clause contrary to the provisions of the Companies Act.
Article of Association: It is the subsidiary both to the Companies Act and the Memorandum of Association.
- Memorandum of Association: The Memorandum of Association defines the relation between the company and outsiders.
Article of Association: The Article of Association regulates relationship between the company and its members and between the members inter se.
- Memorandum of Association: It can't be altered easily. It can only altered in accordance with the mode Prescribed by the Act.
Article of Association: In case of Article of Association, members have a right to alter the articles by a special resolution.
