Lecciones Valiosas de Análisis Empresarial: Versión "Compañía Anónima" -Valuable lessons on business analysis: "Public Company Version"

¡Hola, comunidad de Hive! Como les comente en mi post de presentación, soy estudiante de Mercadeo y actualmente veo clases de un curso llamado "Legislación mercantil" de la mano del facilitador Hive account@proferobert5. El curso básicamente se enfoca en finanzas, análisis de diversas sociedades mercantiles y aspectos legales.

Quisiera hablarles un poco sobre el contenido que aprendí en mis recientes clases, en esta oportunidad nos centramos en "Análisis de Compañía anónima, C.A", la cual es una forma de organización empresarial muy común en mi país Venezuela.

En nuestras clases analizamos diferentes actas constitutivas de empresas reales. Lo cual nos permitió conocer los aspectos financieros y operativos de diversas compañías así como también su visión y misión. Por ejemplo, al analizar el acta de la compañía anónima entendí que todo el capital se divide en acciones, las cuales representan la participación de cada socio en el capital de la empresa, y su responsabilidad también es proporcional a la suma que hayan invertido en la compañía.

Ademas, se constituye bajo el articulo 247 del código de comercio, y se regula mediante los códigos 248 a 258 del mismo, en el cual deben expresar todo lo relacionado con la compañía desde el objetivo de la sociedad, capital social adquirido, hasta reflejar todas las condiciones y clausulas en las que funcionara la compañía. En esta oportunidad nuestra acta era sobre una empresa dedicada a la compra y venta tanto al detal como al mayor de artículos de tecnología en general.

La evaluación era realizada mediante una ronda de preguntas, realizadas por nuestro facilitador, adaptándose a todo lo relacionado con el acta previamente analizada. Las rondas eran por grupos de 7 personas, y al azar eran seleccionados solo 2 de ellos para defender. Ejemplo de la ronda: "¿Como estaban repartidas las acciones y capital dentro de la empresa?", "¿Cual era el objetivo de la compañía?", "¿Cuantos esta constituida la junta directiva?".

Considero que fue una buena dinámica, ya que nos permitió profundizar en el tema de una manera mas activa manteniendo la incertidumbre de ser el seleccionado para defender así como también conocer la perspectiva de cada uno de mis compañeros con respecto a cada análisis, que ademas el tema era algo nuevo para mi.

Y por si tienen dudas, en esa oportunidad no me correspondió ser parte de la defensa pero claro que sacamos la nota sobre la nota es decir 1/1🤭.

Hello, Hive community! As I told you in my introduction post, I'm a Marketing student and I'm currently watching classes of a course called “Commercial Legislation” with the facilitator Hive account@proferobert5. The course basically focuses on finance, analysis of various commercial companies and legal aspects.

I would like to tell you a little bit about the content I learned in my recent classes, this time we focused on “Analysis of a corporation, C.A.”, which is a very common form of business organization in my country Venezuela.

In our classes we analyzed different articles of incorporation of real companies. This allowed us to learn about the financial and operational aspects of different companies as well as their vision and mission. For example, by analyzing the minutes of the corporation I understood that all the capital is divided into shares, which represent the participation of each partner in the capital of the company, and their responsibility is also proportional to the amount they have invested in the company.

In addition, it is constituted under article 247 of the code of commerce, and is regulated by codes 248 to 258 of the same, in which they must express everything related to the company from the objective of the company, social capital acquired, to reflect all the conditions and clauses in which the company will operate. This time our report was about a company dedicated to the purchase and sale of retail and wholesale technology items in general.

The evaluation was carried out through a round of questions, asked by our facilitator, adapting to everything related to the previously analyzed minutes. The rounds were by groups of 7 people, and only 2 of them were randomly selected to defend. Example of the round: “How were the shares and capital distributed within the company?”, “What was the objective of the company?”, “How many is the board of directors constituted?”.

I consider that it was a good dynamic, since it allowed us to go deeper into the topic in a more active way, keeping the uncertainty of being the one selected to defend as well as to know the perspective of each one of my colleagues regarding each analysis, since the topic was also something new for me.

And in case you have any doubts, in that opportunity I was not part of the defense, but of course we took the note about the note, that is to say 1/1🤭.
